1. Acceptance of Terms

By visiting or using agrochar.com (the "Site"), submitting a request, or interacting with our services, you agree to these Terms and any additional policies referenced herein, including our Privacy Policy. If you do not agree, please discontinue use of the Site.

The Site is operated by Agrodrone, a company incorporated in Portugal, trading as AGROCHAR. Our registered office is located in Lisbon, Portugal. References to "we", "us", or "our" mean Agrodrone - AGROCHAR.

Availability of products, packaging, and pricing may change without notice. Nothing on the Site constitutes a binding offer; all orders and supply arrangements are subject to formal written confirmation from AGROCHAR.

7. Requests, Quotes, and Ordering

Submitting a contact form or quote request does not create a contract. We will review your request, respond with product guidance or pricing, and may require additional documentation. Unless a written supply agreement is executed, AGROCHAR reserves the right to decline orders or limit quantities.

8. User Content

If you submit feedback, testimonials, or other materials ("User Content"), you grant us a non-exclusive, royalty-free licence to use, reproduce, and display such content for promotional or operational purposes. You represent that you have the necessary rights to grant this licence and that your User Content is accurate and lawful.

13. Limitation of Liability

To the fullest extent permitted by law, AGROCHAR, its affiliates, and their directors, officers, employees, or agents shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or use arising from or related to the Site. Our total liability for any claim shall not exceed EUR 100 or the amount you paid to AGROCHAR in the six months preceding the claim, whichever is greater.

14. Indemnification

You agree to indemnify and hold AGROCHAR and its affiliates harmless from any claims, damages, liabilities, losses, and expenses (including legal fees) arising from your use of the Site, your breach of these Terms, or your violation of applicable laws or third-party rights.

15. Suspension and Termination

We may suspend or terminate access to the Site at any time for conduct that we believe violates these Terms, applicable law, or is harmful to our interests. The provisions of Sections 8–18 shall survive termination.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of Portugal, without regard to conflict-of-law principles. The courts of Lisbon, Portugal shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the Site, subject to mandatory jurisdiction of other courts as required by applicable law.

17. Dispute Resolution and Good Faith

Before commencing formal proceedings, please contact us to attempt informal resolution. We will work in good faith to resolve concerns within 30 days. Nothing in this section limits either party’s right to seek interim relief.

18. Miscellaneous

• If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• Failure to enforce a right does not constitute a waiver.
• You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
